End-User License Agreement and Terms of Use

These End-User License Agreement and Terms of Use (“Terms”) govern access to and use of the AIRES Customer Portal provided by AIRES Kompresor LLC (“AIRES,” “we,” “us,” or “our”). By accessing or using the portal, you agree to these Terms on behalf of yourself and the business you represent.

1. Business-use eligibility

The portal is intended for authorized AIRES distributors, customers, service personnel, and administrators. You must provide accurate information, be authorized to act for the business associated with your account, and use the portal only for legitimate business support.

2. Account access and security

Portal access is personal to the authorized user. You are responsible for protecting your credentials, changing any administrator-issued temporary password, and notifying AIRES promptly of suspected unauthorized access. You may not share credentials, impersonate another person, or attempt to access another organization’s information.

3. Limited license

Subject to these Terms, AIRES grants you a limited, revocable, non-exclusive, non-transferable license to use the portal for equipment registration, warranty administration, claims, technical-document access, and related support. No ownership rights are transferred.

You are responsible for the accuracy and completeness of start-up records, warranty registrations, warranty claims, invoices, photographs, service information, tax documents, and other materials you submit. Submission does not guarantee approval, coverage, reimbursement, or acceptance. AIRES may verify, reject, correct, or request additional information.

6. QuickBooks Online integration

The portal may connect to QuickBooks Online through an account authorized by AIRES. The integration may use customer, invoice, product, invoice-date, line-description, and serial-number information to link distributor accounts and administer equipment registrations and warranties.

Your use of QuickBooks Online is also governed by your agreement with Intuit. Availability of the integration may depend on Intuit services, permissions, and APIs. AIRES is not responsible for Intuit service interruptions or changes outside AIRES’s control.

7. Warranty administration

The portal is an administrative tool. Product warranty coverage remains governed by the applicable AIRES warranty certificate, warranty procedures, sales documents, and written warranty terms. If portal information conflicts with controlling written warranty terms, the controlling written warranty terms apply.

8. Technical materials

Manuals, brochures, drawings, procedures, software content, trademarks, and other materials available through the portal are owned by or licensed to AIRES and may be protected by intellectual-property laws. They may be used only for authorized AIRES equipment sales, installation, operation, maintenance, and support.

9. Suspension and termination

AIRES may suspend or terminate access for security concerns, misuse, inaccurate information, inactivity, loss of authorization, breach of these Terms, or discontinuation of the portal. You may stop using the portal at any time. Provisions that by their nature should survive termination will remain in effect.

10. Availability and disclaimers

The portal is provided on an “as available” basis. To the maximum extent permitted by law, AIRES disclaims implied warranties concerning the portal itself, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

11. Limitation of liability

To the maximum extent permitted by law, AIRES will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from portal use or inability to use the portal. These limitations do not modify obligations expressly provided in an applicable AIRES product warranty.

12. Governing law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute relating specifically to portal use will be brought in a court of competent jurisdiction in South Carolina unless applicable written agreements require otherwise.

13. Changes to these Terms

We may update these Terms as the portal or applicable requirements change. Continued use after updated Terms become effective constitutes acceptance of the updated Terms.
